Generally, when a single insider buys stock, it is usually not a big deal. However, when several insiders are buying, like in the case of Nyrada Inc. (ASX:NYR), it sends a favourable message to the company's shareholders.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.
Over the last year, we can see that the biggest insider purchase was by Non-Executive Chairman John Moore for AU$540k worth of shares, at about AU$0.54 per share. That means that even when the share price was higher than AU$0.52 (the recent price), an insider wanted to purchase shares. It's very possible they regret the purchase, but it's more likely they are bullish about the company. We always take careful note of the price insiders pay when purchasing shares. As a general rule, we feel more positive about a stock if insiders have bought shares at above current prices, because that suggests they viewed the stock as good value, even at a higher price.
Over the last year, we can see that insiders have bought 1.32m shares worth AU$638k. But they sold 600.00k shares for AU$388k. In total, Nyrada insiders bought more than they sold over the last year. They paid about AU$0.48 on average. These transactions show that insiders have confidence to invest their own money in the stock, albeit at slightly below the recent price. Nyrada is not the only stock insiders are buying. So take a peek at this free list of under-the-radar companies with insider buying.
We saw some Nyrada insider buying shares in the last three months. CEO, MD & Director James Bonnar shelled out AU$8.2k for shares in that time. We like it when there are only buyers, and no sellers. But the amount invested in the last three months isn't enough for us too put much weight on it, as a single factor.
For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Nyrada insiders own about AU$35m worth of shares. That equates to 28% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
Insider purchases may have been minimal, in the last three months, but there was no selling at all. The net investment is not enough to encourage us much. However, our analysis of transactions over the last year is heartening. Overall we don't see anything to make us think Nyrada insiders are doubting the company, and they do own shares. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Nyrada. When we did our research, we found 6 warning signs for Nyrada (2 shouldn't be ignored!) that we believe deserve your full attention.
