According to the Zhitong Finance App, Guowei Holdings (02239) announced that on July 20, 2026, the seller Guowei Group (Shenzhen) Co., Ltd. (a wholly-owned subsidiary of the company) and the guarantor signed separate share transfer agreement A and share transfer agreement B with Shengshi Zhida and Jiutian Shengshi. Based on this, the seller agreed to sell and Shengshi Zhida and Jiutian Shengshi agreed to purchase a total of 5 million shares of Xinxingji shares (accounting for about 3.95% of Xinxingji's shares).

The Group acquired shares in Sixingji in 2020 as a strategic investment in a nascent technology company. The company focuses on developing chip design services and EDA software for digital chip implementation. Since then, Sixinji has made progress in developing its proprietary EDA tools and is collaborating with key players in the chip design industry to promote commercialization of such tools. The board of directors believes that the equity transfer provides an exit opportunity for the Group's minority equity investment in Xinxing and will enable the Group to obtain a considerable return on its investment in Xinxing.

Although the share transfer will result in an accounting sale loss, the company uses market-comparable company law to re-measure the fair value of its shares in Xinxing Ji. This fair value fluctuates with changes in the income level and market revenue multiples of Xinxing Ji. The Group has recognized fair value profit and loss each year in its previous financial statements. Considering the original acquisition cost of RMB 5 million when the Group first acquired the relevant shares in 2020, the share transfer represents a considerable return on investment for the Group.
