The gross proceeds from the Offering to Robin Energy are expected to be approximately $3.0 million, before deducting underwriting discounts, commissions, and other Offering expenses. The Offering is expected to close on or about July 27, 2026, subject to the satisfaction of customary closing conditions. In addition, Robin Energy has granted the underwriter a 45-day option to purchase up to 54,380 additional shares of common stock at the public Offering price less the underwriting discounts and commissions.
