The recent 10% drop in Eightco Holdings Inc.'s (NASDAQ:ORBS) stock could come as a blow to insiders who purchased US$1.13m worth of stock at an average buy price of US$1.33 over the past 12 months. Insiders buy with the expectation to see their investments rise in value over a period of time. However, recent losses have rendered their above investment worth US$494.3k which is not ideal.
Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.
The Independent Director Nicolas Caiano made the biggest insider purchase in the last 12 months. That single transaction was for US$500k worth of shares at a price of US$1.46 each. So it's clear an insider wanted to buy, even at a higher price than the current share price (being US$0.58). While their view may have changed since the purchase was made, this does at least suggest they have had confidence in the company's future. In our view, the price an insider pays for shares is very important. It is generally more encouraging if they paid above the current price, as it suggests they saw value, even at higher levels.

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Our data suggests Eightco Holdings insiders own 1.8% of the company, worth about US$4.0m. But they may have an indirect interest through a corporate structure that we haven't picked up on. We prefer to see high levels of insider ownership.
The recent insider purchase is heartening. We also take confidence from the longer term picture of insider transactions. But we don't feel the same about the fact the company is making losses. On this analysis the only slight negative we see is the fairly low (overall) insider ownership; their transactions suggest that they are quite positive on Eightco Holdings stock.
