60 Degrees Pharmaceuticals Announces $1M Private Placement Of 574,713 Shares At $1.74, Including Warrants

60 Degrees Pharmaceuticals, Inc. (NASDAQ:SXTP, SXTPW))) ("60 Degrees" or the "Company"), a pharmaceutical company that develops and commercializes new medicines for vector-borne disease, today announced that it has entered into definitive agreements for the issuance and sale of an aggregate of 574,713 shares of its common stock (or pre-funded warrants in lieu thereof), series A warrants to purchase up to 574,713 shares of common stock and short-term series B warrants to purchase up to 574,713 shares of common stock at a purchase price of $1.74 per share (or per pre-funded warrant in lieu thereof) and accompanying warrants in a private placement priced at-the-market under Nasdaq rules. The series A warrants and short-term series B warrants will have an exercise price of $1.49 per share and will be exercisable upon issuance. The Series A warrants will expire five years from the effective date of the Resale Registration Statement (as defined below) and the short-term Series B warrants will expire twenty-four months from the effective date of the Resale Registration Statement. The closing of the offering is expected to occur on or about July 31, 2026, subject to the satisfaction of customary closing conditions.

H.C. Wainwright & Co. is acting as the exclusive placement agent for the private placement.

The gross proceeds to 60 Degrees from the offering are expected to be approximately $1.0 million, before deducting the placement agent’s fees and other offering expenses payable by 60 Degrees, and excluding the proceeds, if any, from the exercise of the warrants. The Company intends to use the net proceeds from this offering for working capital and general corporate purposes.
