Disciplinary actions against a member company and trader 1. Member Company The Stock Exchange of Thailand ("SET") conducted an operational inspection of Phillip Securities (Thailand) Public Company Limited (the "Company") during November - December 2025, and found that the Company had insufficient internal control systems to ensure that its operations complied with the rules prescribed by SET, resulting in violations of the SET's rules in several instances, such as: the inability to manage risks arising from changes to the parameters of a computer program used for algorithmic trading equipped with pre-trade risk management (PTRM); the failure to retain records of the operation of the member's broker front office as required under the prescribed rules; the failure to supervise the performance of duties of a trader, resulting in the placement of an offer to sell securities in excess of the quantity of securities held by the client1*. SET has considered the matter and is of the opinion that the Company's actions were found to constitute a violation of, or non-compliance with, Clause 17(1) and (12) of the SET Regulations Re: Membership Rules, B.E. 2544 (2001) but the effect of the violation in this case had no impact on investors or the overall trading system. Therefore, SET, by the Disciplinary Sub-Committee, has resolved to take disciplinary action against the Company by imposing a probation for a period of 2 years. 2. Trader Mr. Choochai Pongphantarak, a trader of the Company, failed to exercise due care in placing an offer to sell securities on behalf of a client, resulting in the placement of an offer in excess of the quantity of securities held by the client. However, since Mr. Choochai cancelled the sell order in time, the sell order that was successfully matched did not exceed the quantity of securities held by the client. SET has considered the matter and is of the opinion that Mr. Choochai's actions were found to constitute a violation of, or non-compliance with, Clause 23 (1) of the SET Notification Re: Persons Involved in the Trading System, B.E. 2555 (2012) but the effect of the violation in this case had no impact on investors or the overall trading system. Therefore, SET, by the Disciplinary Sub-Committee, has resolved to take disciplinary action against Mr. Choochai by imposing a probation for a period of 6 months. In this regard, SET has reported the details of the disciplinary actions against the Company and the trader to the Office of the Securities and Exchange Commission for consideration and further action within its authority. 31 July 2026 * Since the trader cancelled the sell order in time, the sell order that was successfully matched did not exceed the quantity of securities held by the client. ______________________________________________________________________
