NLB Group's Takeover Offer for Addiko Bank Fails to Reach Acceptance Threshold

04:19 AM EDT, 08/03/2026 (MT Newswires) -- Nova Ljubljanska banka d.d., Ljubljana (NLB.L), d/b/a NLB Group, said Monday its all-cash voluntary public takeover offer for Addiko Bank (ADKO.VI) will not be settled or extended after it failed to meet the minimum acceptance threshold. The Slovenian financial group received tenders for 6,087,353 Addiko shares, representing 31.22% of the Austrian banking group's issued share capital, while the minimum acceptance declarations were set at 50% plus 1 share. NLB Group added that the resources it earmarked for the transaction remain available and that it will move forward with its acquisition strategy. NLB Group initially proposed 29 euros per Addiko share in May, and increased the offer to 33.50 euros per share in June.
