(“Aston Robot”) and Nanjing Dingtong Electromechanical Automation Co., Ltd. (“Dingtong Electromechanical”), intend to acquire shares in Nanjing Eston Cool Technology Co., Ltd. (“Aston Cool”) through cash payment, with a total transaction amount of 487 million yuan. After the transaction is completed, the company will indirectly hold 100% of the shares of Aston Cool through its subsidiaries Eston Robotics and Dingtong Electromechanical, and Eston Cool will be included in the scope of the company's consolidated statements.
According to reports, Eston Cool's main business is the R&D, production and sales of collaborative robots, embedded intelligent robots and their core components. The main products are collaborative robots with a load of 3-35 kg and embedded intelligent robots and their core components. The downstream application fields mainly include automobiles, home appliances, 3C electronics, food logistics and other industries.
