
Zhitong Finance App News, Venture Group Holdings (02221) announced that on August 14, 2026, the Company signed a capital injection agreement with Tianjin Tianchuang Investment Co., Ltd. (Tianjin Tianchuang), Shenzhen Mannst Venture Capital Management Co., Ltd. (Shenzhen Mannst), and Hebei Ruifeng Energy Technology Co., Ltd. (Hebei Ruifeng), a wholly-owned subsidiary of Hebei Ruifeng, to extend the Group's existing business relating to waste cooking oil (UCO) and new energy battery anode materials the industrial chain.
According to the capital injection agreement, Tianjin Tianchuang will inject RMB 2 million; and Shenzhen Mannst will inject RMB 1.75 million. Together with the existing capital injection of RMB 1.25 million made by Hebei Ruifeng, the total registered capital of the target company will be increased to RMB 5 million. After the capital injection is completed, the Group will hold 40% of the target company's equity interest. At that time, the target company will be recorded and listed as an associated company of the Group in the Group's comprehensive financial statements. It is estimated that Tianjin Tianchuang's capital investment of RMB 2 million will be disbursed from the Group's internal resources.
The target company is mainly engaged in investment, development, construction and operation of new energy storage projects (i.e. energy storage power plants) in China. The board of directors believes that injecting capital into the target company represents the expansion and extension of the Group's existing industrial chain (relating to its UCO and new energy battery anode materials business) for the following reasons.
First, the Group's current UCO business is essentially a green energy source and can be further processed into biodiesel. As a liquid clean fuel, biodiesel can be used to generate electricity, and the generated electricity can be fed into energy storage power plants.
Second, the Group also produces graphite-based new energy battery anode materials and is simultaneously developing bio-based hard carbon anode materials. These materials have the advantages of excellent circulation performance and high safety, and are mainly used as anode materials for future energy storage batteries.
By developing its energy storage business, the Group will be able to quickly obtain sales orders for bio-based hard carbon anode materials from battery manufacturers, which is expected to bring the Group two benefits, namely: returns from the bio-based hard carbon anode materials business; and returns from application-side energy storage projects.
