Listen to the news

Anyone interested in CeriBell, Inc. (NASDAQ:CBLL) should probably be aware that the Independent Director, Joseph Taylor, recently divested US$306k worth of shares in the company, at an average price of US$23.40 each. That sale was 21% of their holding, so it does make us raise an eyebrow.

The Last 12 Months Of Insider Transactions At CeriBell

Notably, that recent sale by Joseph Taylor is the biggest insider sale of CeriBell shares that we've seen in the last year. So we know that an insider sold shares at around the present share price of US$23.33. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. CeriBell insiders own about US$50m worth of shares. That equates to 5.6% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

What Might The Insider Transactions At CeriBell Tell Us?

Insiders haven't bought CeriBell stock in the last three months, but there was some selling. And even if we look at the last year, we didn't see any purchases. While insiders do own shares, they don't own a heap, and they have been selling. So we'd only buy after careful consideration.
