Berenberg Downgrades Segro Rating, Price Target as Prologis Deal Caps Upside

02:21 AM EDT, 08/19/2026 (MT Newswires) -- Berenberg downgraded its rating and price target for Segro (SGRO.L), noting the terms of Prologis' (0KOD.L) takeover offer limit further organic upside for the logistics property company. "Following the announcement of Prologis' 'best and final' recommended takeover proposal for SEGRO on 4 August, and SEGRO's c33% share price increase [year-to-date] as a result of the offer, we downgrade our rating on SEGRO from Buy to Hold. We remain confident in the company's underlying fundamentals and long-term prospects, but the current share price now trades near our estimate of a fair implied transaction value, which will continue to move around given the part-cash, part-shares nature of the proposed transaction," analysts said Wednesday. "We see fair value at GBp995: 10% [net asset value] premium. Now with the board's recommendation, we see limited organic share price upside and expect the stock to remain anchored around the deal terms." Under Prologis' offer, Segro investors will receive 0.0920 Prologis shares for every Segro share held. The takeover bid includes a partial cash alternative of up to 3.51 billion pounds sterling. The overall 14.3 billion-pound transaction valuation incorporates Segro's planned 2026 final dividend of up to 0.2256 pounds per share, provided it is declared and distributed before the deal closes. Accordingly, analysts trimmed their price target on the stock to 9.91 pounds from 9.95 pounds. In the same research report, Berenberg also noted Segro's "broadly in line" first-half results. As such, analysts left their EPS forecasts "broadly unchanged," while making minor downward revisions of between 0% and 0.5% to their net tangible assets per share projections across the forecast horizon.
