The seller intends to sell and the company intends to purchase sales shares and sales loans. The total cost is HK$505 million, subject to the terms of the sales agreement to be entered into by the seller, the company and the target company. The Company is not obligated to purchase any sales shares and sales loans unless all sales shares and sales loan transactions are completed at the same time.

According to reports, the target company's main business is investment holding. The target group's main business is operating the hotel, and its main asset is the hotel. The hotel is a four-star hotel in Macau, offering 441 well-equipped and tastefully decorated guest rooms. The hotel began operation in 1997 and was completely renovated in 2005.

Through the acquisition of the target group, in addition to the hotel business in Niseko, Japan, the Group will have a year-round urban hotel business in Macau (one of Asia's major travel hubs). Furthermore, it is expected that the consolidation of target groups will bring synergy effects to the expanded group, such as revenue diversification, cross-promotion, operational improvement, and resource reallocation. The proposed acquisition provides the Group with stable, revenue-generating assets and has a good track record of profit.
