Zhitong Finance App News, Shengnuo Pharmaceutical-B (02257) announced that on August 26, 2026, RNAimMune, Inc. (seller), an indirect non-wholly-owned subsidiary of the company, signed an investment agreement with Guangzhou Guangjian Pharmaceutical Innovation Equity Investment Fund Partnership (Limited Partnership) (investor). The investors have agreed to inject a total of RMB 30 million into the target company's registered capital.
After the transaction is completed, the registered capital of the target company will increase to RMB 53 million. The seller's shares in the target company will be diluted from 100.00% to 94.34%, while the investors will hold 5.66% of the target company's shares, and the group will indirectly hold 56.80% of the target company's shares through the seller.
According to the shareholders' agreement (concluded by the same contracting party on August 26, 2026), investors have the right to exercise repurchase rights on or at any time after any triggering event (including failure to complete an eligible initial public sale before December 31, 2032, or failure to complete an eligible asset restructuring before December 31, 2028) to require the person responsible for the repurchase to repurchase their shares in the target company at the redemption price.
The directors believe that a strategic partner will be introduced as a sales matter to fund the continued research and development of the target company's vaccine pipeline, improve the group's liquidity, and enhance the group's overall corporate strength.
