(“Shengfengyuan”), plans to acquire 65% of the shares of Tibet Haiteng Industrial Co., Ltd. (“Tibet Haiteng Industrial”) held by Liu Zongjun for 709 million yuan. After the transaction is completed, Tibet Haiteng Industrial will become the company's controlling subsidiary and included in the scope of the company's consolidated statements.
Tibet Haiteng Industrial has prospecting rights for “Exploration of Bagala (East) Lead and Zinc Ore in Mozhugongka County and Linzhou County, Lhasa City, Tibet”. License number: XT5400002008123010021073. It was first established in 2003, and after many extensions and changes, a new license was issued on August 28, 2026. The mineral rights are valid from 2026-07-28 to 2031-07-27, and the survey area is 42.0668 square kilometers. According to the exploration report issued by the Northwest Geological Survey Institute of China General Administration of Metallurgy and Geology on September 30, 2025, with the exception of lead-zinc resources, the amount of silver metals that have been identified has met the standards for large-scale domestic silver deposits.
The amount of silver metal in the silver-lead-zinc ore to be acquired this time has reached the size of large-scale deposits. Both lead and zinc are medium-sized deposits. The grade of silver, lead and zinc is medium, and the ore quality is good.
