According to the announcement made before markets opened on Wednesday, the offering was of 8.00% convertible promissory notes to an accredited investor. Antelope Enterprise received net proceeds of approximately $5.965 million after deducting estimated offering expenses.

The notes carry no fixed maturity date, with interest accruing from Sept. 10 until paid in full, payable in cash. Holders can convert into Class A ordinary shares at 80% of the lowest three-day volume-weighted average price.

Dilution Guardrails Built Into The Deal

The company said that conversions are subject to Nasdaq’s 19.99% limit on share issuance, a 9.99% limit on beneficial ownership, and a 12 million share registration cap.

The notes were offered under a Form F-3 shelf registration statement, a short-form registration used by eligible foreign private issuers, which became effective with the Securities and Exchange Commission on May 5.

According to a last week announcement, the notes were priced to Stratosphere Capital Management Inc., under a note purchase agreement signed on Sept. 9.

In August, Antelope Enterprise also disclosed an $18.99 million private placement of 15 million Class A ordinary shares, including warrants to purchase 15 million additional shares.
