OCI Global Shareholders Raise Concerns Over Wind-down Risk

03:48 AM EDT, 09/17/2026 (MT Newswires) -- OCI Global (OCI.AS) on Thursday published a letter from three shareholders raising concerns that extended inquiry proceedings before the Amsterdam Enterprise Chamber could result in the solvent wind-down of the company. Oceanwood Capital Management, as part of a group of three shareholders, wrote to the Dutch chemicals company's board that extending the proceedings could deprive shareholders of the option to capitalize on engineering and construction company Orascom Construction's (ADX:ORAS) offer to exchange 0.4634 Orascom shares for each OCI share, implying a valuation of 5.69 euros per share, or the all-cash proposal from NNS Holding of 4.10 euros per share. The shareholders, with a combined ownership of 8.5 million shares, or a 4% stake in OCI, are throwing their support behind the merger with Orascom, but said the proposal from NNS also compares favorably to the alternative of a prolonged solvent wind-down.
