CID HoldCo Stock Surges Thursday: What's Happening?

Shares of CID HoldCo Inc. (NASDAQ:DAIC) are surging Thursday morning following a series of major corporate transactions detailed in SEC filings after the market close on Wednesday.

The holding company announced a binding agreement to acquire shared electric vehicle platform Envoy Technologies for $65 million, alongside a senior debt settlement that eliminates default liabilities and a formal presentation to defend its Nasdaq listing.

Here’s what investors need to know.

$65M Envoy Acquisition and Balance Sheet Deleveraging

Under the term sheet executed on September 14, CID HoldCo will acquire 100% of Envoy Technologies from BladeRanger Ltd. and Blink Charging Co. for $65 million in equity consideration at $6.00 per share, issuing 10,833,333 shares split between common and Series C Preferred Stock. The acquisition is targeted to close by Oct. 6, with definitive agreements expected by Sept. 25.

Simultaneously, CID HoldCo resolved all senior default claims via a Sept. 15 settlement agreement with LHT I LLC, which converted $1,086,785 in outstanding debt into 2,815,506 common shares at 38.6 cents per share to fully satisfy obligations and release all liens.

Additionally, the company raised $500,000 in net proceeds via a convertible note issued to H Capital Ventures on September 10 and presented a compliance plan to a Nasdaq Hearings Panel on Sept. 15, 2026, preserving DAIC’s active listing pending the panel’s decision.
