On September 18, 2026, the company (as seller) entered into a sales agreement with Mega (as buyer), YFML (target company) and Mr. Yu Feng (as a guarantor). The company agreed to sell and the buyer agreed to purchase sales shares. These shares are equivalent to the entire issued share capital of YFML.
After the sale is completed, the Company will continue to engage in regulated activities as stipulated in the Securities and Futures Regulations through its other two wholly-owned subsidiaries (namely Yunfeng Securities Limited and Yunfeng Asset Management Limited). Among them, Yunfeng Securities Co., Ltd. has upgraded its existing Class 1 (securities trading) regulated activity license to provide virtual asset trading services through integrated account arrangements with the SFC's licensed platform.
The sale is an attempt by the Company to reorganize its licensed entities to simplify the overall licensing structure and eliminate duplication of functions. In line with the Group's long-term strategic goal of fully developing digital assets and digital finance business, the Company will further strengthen the role of Yunfeng Securities Co., Ltd. and Yunfeng Asset Management Co., Ltd. as core licensed platforms, and YFML will be sold because it is difficult to play a real business role within the Group due to lack of clear positioning.
The Company currently has three wholly-owned subsidiaries, all of which are licensed entities, including: Yunfeng Securities Limited (licensed to engage in Type 1 “Securities Trading” and Type 4 “Advising on Securities” regulated activities); Yunfeng Asset Management Limited (licensed to engage in Type 4 “Advising on Securities” and Type 9 “Providing Asset Management” regulated activities); and YFML (licensed to engage in Type 1 “Securities Trading”, Type 4 (Providing advice on securities) and Type 9 (Providing Asset Management) regulated activities). The above regulated activities are all subject to the Securities and Futures Ordinance.
