Shares of Rocket Lab Corp. (NASDAQ:RKLB) are trading lower Friday morning as investors continue to digest the immediate dilutive impact of a major company-specific funding milestone.

$1.94 Billion ATM Offering Secures Iridium Acquisition Funding

The primary catalyst for Friday’s pullback is the completion of a massive $1.94 billion at-the-market equity offering, which Rocket Lab officially announced on Tuesday. The offering, combined with an amended $1.77 billion term loan facility, fully finances the company’s highly anticipated acquisition of Iridium Communications.

While securing this capital resolves a financing overhang ahead of the merger’s mid-2027 closing target, the sheer scale of the equity issuance has prompted a near-term consolidation in the stock price as institutional investors recalibrate their valuation models to account for the heavy dilution.

Balancing M&A Progress with Intensive Capital Requirements

Despite the Friday morning pullback, Rocket Lab continues to execute on core operational milestones. Last week, the company successfully launched its 16th Electron mission of the year, deploying a commercial Earth observation satellite for a confidential customer.

Furthermore, management detailed ongoing U.S. launch infrastructure expansions on Thursday to support its upcoming medium-lift Neutron rocket at Cape Canaveral.
