Pursuant to this prospectus, the selling stockholder identified herein (the "Selling Stockholder") is offering on a resale basis an aggregate of 751,879 shares (the "Shares") of common stock, par value $0.0001 per share (the "Common Stock") of MAIA Biotechnology, Inc., (the "Company," "we," "us" or "our") received under our Clinical Trial Funding Agreement dated August 29, 2026 with PoC Capital, LLC.

 

We will not receive any of the proceeds from the sale by the Selling Stockholder of the Common Stock.
