
According to Zhitong Finance App, Dexiang Xinyun Computing Power (00199) announced that on September 28, 2026 (after the transaction period), Beijing Dexiang Intelligent Computing Holdings Co., Ltd., an indirect wholly-owned subsidiary of the company, plans to acquire 80% of Guangzhou Chaoqixiyang Technology Co., Ltd.'s shares from Ms. Sun Meichen. The cash cost is RMB 83.616 million. After completion, the buyer will hold 80% of the target company's total shares, while the seller will continue to hold the remaining 20% of the target company's shares.
As of the date of this announcement, the target company has purchased and received 26 high-performance servers, including 24 high-performance servers and 2 high-performance all-in-one computers, and has signed two computing power scheduling service contracts with an artificial intelligence company (that is, the customer). The total contract service fee is RMB 648,960,000 (tax included). The client is an artificial intelligence infrastructure company based in Shanghai that integrates heterogeneous computing resources and provides large model training, inference, and model-as-a-service solutions. Delivery and collection of services under the initial contract has commenced. The deposit under the second contract has been collected, but the first monthly service fee is still to be collected after completing the invoicing process.
According to the announcement, the group is building an artificial intelligence computing power infrastructure and cloud service platform covering the delivery and management of AI data center capacity, computing power resources, and computing power services. Through this acquisition, the Group will integrate high-performance servers purchased under negotiated commercial terms, large customer contract requirements, monthly prepayment terms, and project financing. The directors believe that this combination specifically demonstrates the Group's ability to obtain computing power resources, obtain customer commitments, and arrange financing around actual service delivery. This move will solidify the commercial foundation of the Group's business planning for all links in the AI computing power value chain and provide operational references for future projects.
