Vesuvius Confirms Unsolicited Takeover Proposals from RHI Magnesita

05:15 AM EDT, 09/29/2026 (MT Newswires) -- Vesuvius (VSVS.L) confirmed receiving a series of unsolicited, nonbinding indicative acquisition proposals from Austrian refractory products supplier RHI Magnesita (RHIM.VI, RHIM.L) since September 2025. In its latest proposal, RHI offered 4.70 pounds sterling in cash per share plus 0.28 new shares for every 10 Vesuvius shares, valuing each share at 5.51 pounds based on RHI's one-month volume-weighted average price as of Aug. 27. Vesuvius shareholders would receive about 7.1 million new RHI shares and own about 13% of RHI's enlarged share capital following completion, according to a Tuesday release. The proposal also allows Vesuvius shareholders to receive the company's 0.071-pound-per-share interim dividend without reducing the value of the offer. The molten metal flow engineering and technology company said its board, alongside its financial and legal advisers, is evaluating the latest proposal, including the financial terms and execution risk of the deal.
