According to the Zhitong Finance App, Gaokeqiao Light Guide (09963) announced that on October 15, 2026, Gaokeqiao Hong Kong, a wholly-owned subsidiary of the company, plans to acquire 49% of the total issued share capital of Haotai Investment from Haodar Technology, at a cost of RMB 249.9 billion. The price will be fully paid at the time of completion by allocating and issuing 32.487 million consideration shares to the seller under special authorization, at a price of HK$9.00 per share.
As of the date of this announcement, the target company owns 51% of Yinhu Tianjin's shares through its wholly-owned subsidiary, while Yinhu Tianjin is mainly engaged in the production and sale of prefabricated optical fiber rods in China. Upon completion, the Group will hold approximately 24.99% of the actual shares in Yinhu Tianjin.
Silver Lake Tianjin operates at its registered address No. 398, Gaoxin 5th Road, Binhai Science Park, Binhai Hi-Tech Zone, Tianjin, China. The site covers a total area of 26,401.2 square meters and a total construction area of 14,947.04 square meters. As of this announcement date, Yinhu Tianjin operated four optical fiber prefabricated rod production lines and four optical fiber prefabricated rod production lines at this location. Its main customers include (i) an integrated wire, cable and materials group listed on the Tokyo Stock Exchange; and (ii) Fortis China Group.
Furthermore, the seller assured the buyer that Silver Lake Tianjin's net profit (actual profit) before income tax in 2026 will not be less than RMB 150 million. If the actual profit is less than the guaranteed profit, the seller must pay cash compensation to the buyer, up to a maximum of RMB 30 million.
The announcement stated that it is expected that the acquisition will bring significant strategic and operational synergies and strengthen the Group's competitive position. The Group is mainly engaged in the production and sale of prefabricated optical fiber rods, optical fibers and optical cables in mainland China, Hong Kong and Thailand. Optical fiber prefabricated rods are the necessary precursors required to draw optical fibers and the largest component of the Group's optical fiber production costs. Therefore, a stable and reliable supply of precast bars in sufficient quantity and consistent quality is critical to the Group's operations. Any interruption or shortage will cause the Group's optical fiber drawing production capacity to be underutilized, impairing its ability to fulfill customer orders on time, and exposing its profit margin to the risk of fluctuations in spot market prices. This is especially true in current market conditions. The sharp rise in market price and demand for prefabricated optical fiber rods has tightened supply, and due to the technical complexity, capital intensity and lead time involved in establishing a prefabricated rod production line, additional prefabricated rod production capacity cannot be put into operation quickly.
Yinhu Tianjin produced about 212 tons of prefabricated optical fiber rods in 2025, and is now a mature operating source for the Group's most important raw materials. The directors believe that the acquisition will supplement the contractual supply arrangement. The framework procurement arrangement ensures that the Group receives the supply of precast rods according to the contract basis. The Group's actual shareholding of about 24.99% in Yinhu Tianjin will align the interests of the Group with the target group, and enable the Group to better grasp the production plans and production capacity of Yinhu Tianjin. Together, these factors will enhance the stability of supply under the framework arrangement. Equity participation and framework procurement arrangements will ease the Group's supply chain restrictions. The acquisition will also allow the Group to share the upstream profits generated by Yinhu Tianjin through equity accounting laws, including profits from prefabricated bars supplied to the Group itself.
