Zhitong Finance App News, Yili Holdings (00076) announced that on October 15, 2026, Cityhill Limited, a wholly-owned subsidiary of the company, plans to acquire 69% of AOMI Corporation's total issued share capital from Han Carvestone International Limited, with a maximum cost of about HK$754 million. Of this, HK$534 million will be settled in MUP and gold bars upon completion, and the balance (if any) will be paid in MUP, depending on the adjustment mechanism .
Since 2025, the group has been exploring the development of third-generation Internet-related projects, including the establishment of trading platforms for commodities and other commodities. GoMeta Limited was incorporated for this purpose. If the acquisition is completed, it will be the starting point and foundation for the Group to establish a trading platform equipped with artificial intelligence and directly contacting consumers for the sale and distribution of food, daily necessities and services. The target company holds 98.75% of MED's shares, and MED operates a leading and rapidly growing distribution business in Macau and Zhuhai, China through an online shopping platform in Australia. The company believes that the Australian online shopping platform has a mature business model and advanced platform technology, and is supported by a professional R&D team of more than 100 people. The Australian online shopping platform has independently developed all of its business software systems and holds a number of intellectual property rights, including utility model patents, design patents, software copyrights and trademarks.
The directors believe that the acquisition will enable the Group to broaden its revenue base and enhance its technical capabilities, particularly providing technical support for the platform-based transformation of its graphite business. After completion, the Group plans to gradually expand its Australian search business outside of Macau. The Group's joint venture GoMeta Limited will be able to combine its existing technology (mainly artificial intelligence) with the platform capabilities of online shopping platforms in Australia, thereby enhancing data synergy, improving user operating efficiency, and expanding the range of local lifestyle services. At the same time, this move is expected to accelerate the transformation of the Group's graphite business to a digital and intelligent platform model through the development of a digital trading platform for graphite products, and enhance the Group's ability to seize the opportunities brought about by the development of artificial intelligence.
Following the acquisition, the group will continue to develop its graphite business as its core strategy and expand its graphite product trade, supply chain management and related businesses. The main purpose of the acquisition is not only to operate the target company's existing local lifestyle service business, but to obtain its established and market-proven digital platform capabilities (including mature software platforms, trading systems, platform operation experience, software development capabilities and professional teams), thereby laying the foundation for the Group to establish a digital trading platform, promote the digital transformation of its graphite business, and develop a smart supply chain.
The board of directors believes that compared with the new digital platform developed by the group itself, the target company has established a mature platform architecture, software system and operating framework, and has the technical ability to develop and maintain large-scale digital platforms. These platform capabilities have been proven through years of commercial operation and can provide a reliable foundation for the Group's future digital platform development to shorten the development cycle, reduce construction costs and minimize project execution risks. The board of directors believes that these capabilities are not limited to specific industries and can be further applied to various trading platforms; the Group intends to use these mature capabilities to accelerate the digital transformation of its graphite business.
After the acquisition is completed, the group plans to gradually introduce artificial intelligence technology (including intelligent transaction matching, price analysis, demand forecasting, inventory management, logistics optimization, and collaborative supply chain management) to further improve the efficiency of the platform. These technologies will gradually be applied to graphite product trading and supply chain management to enhance the overall competitiveness of the Group's existing graphite business.
