Missed Bayer's Rally? Here's The Bet Holders Made
Share
Listen to the news

A single court decision can flip the story for Bayer. The U.S. Supreme Court’s 7-2 ruling that shields the group from most Roundup failure to warn lawsuits, combined with a proposed €7.25b settlement plan, abruptly reshaped how markets view its legal overhang. Investors who held Bayer over the past year are up 66.3%, including dividends. If you were deciding fresh in October 2025, what had to be true about litigation and earnings for that payoff to look reasonable?

Bayer has already moved. See which of 186 high quality undervalued stocks still trade below our estimates.

The Two Bayer Stories Investors Had To Weigh

The shares cost €27.09 at the start, and Bayer sat between two very different stories about its future earnings power and lawsuit burden.

The bullish camp anchored on a Fair Value of €39, a price they felt the assumptions implied, built on pharmaceuticals and sustainable farming. They assumed revenue would grow 2.5% a year, margins would rise from a loss of 7.4% to 11.2%, and earnings would reach €5.6b by 2028.

The bearish side saw a Fair Value of €23 and focused on persistent Roundup and PCB liabilities. In that version, revenue slipped 0.1% annually, profit margins only climbed to 5.8%, and debt of over €33b restricted Bayer’s room to invest.

What The Bayer Evidence Actually Showed

The Supreme Court ruling that blocked most Roundup failure to warn cases and wiped out about 65,000 lawsuits clearly supported the optimistic case on litigation risk. Quarterly numbers pointed in the same direction on earnings, with revenue rising from €10,739m to €10,872m and a net loss of €199m turning into net income of €219m as net margin moved from -1.9% to 2.0%. The evidence cut both ways.

The key assumption here was not abstract legal risk, but the scale and timing of cash and earnings drag from court cases. For any other stock facing large claims, it is important to track the size of pending dockets, the settlement frameworks in place, and the shift in net margin once payouts start affecting reported results.

What Today's Bayer Price Already Assumes

Bayer now trades at €44.46 after a 66.3% gain over the past year, while the selected Narrative’s Fair Value sits below the current price. That view hangs on earnings repair and Roundup risk easing faster than the market currently fears.

To pay today’s price, you would need confidence that cash drain from glyphosate cases subsides as planned, without forcing deeper cuts to growth projects or further pressure on margins.

"Os litígios relacionados ao glifosato (Roundup) continuam a ser um fardo significativo nas finanças da Bayer, com impactos que se estendem a 2026. Em 2025, a empresa adicionou cerca de €1,2-1,37 bilhões em provisões para cobrir custos legais, elevando o total gasto para mais de US$10-11 bilhões desde a aquisição da Monsanto."
