Zhitong Finance App News, China Tongpu (01763) announced that China Nuclear Qualcomm, a non-wholly-owned subsidiary of the company, plans to increase its capital through a public listing process on the Beijing Equity Exchange. The board of directors has decided to approve the potential capital increase. The proposed capital raised corresponds to CNNC Qualcomm's additional 17,645,851 shares, with an equity ratio of 20%. Potential capital increases must be publicly listed through an approved equity exchange. Potential capital increases will be carried out through the Beijing Equity Exchange. The selected investors will enter into capital increase agreements in accordance with the relevant rules of the Beijing Property Exchange and relevant Chinese laws and regulations.
In order to carry out the formal public listing process for potential capital increases, CNNC Qualcomm submitted a listing notice to the Beijing Equity Exchange on the date of this announcement, including (but not limited to) (i) the amount of capital to be raised corresponding to the holding ratio (%) or number of shares; (ii) the number of investors to be solicited; and (iii) the eligibility conditions and capital increase conditions for potential investors. The announcement period will initially be twenty (20) working days after the listing notice date. During the announcement period, eligible interested investors can apply to the Beijing Equity Exchange. After paying the transaction deposit and passing the qualification confirmation, the intended investor becomes an eligible intended investor.
The purpose of this capital increase is to meet the capital requirements of CNNC Qualcomm's future business development and capital expenditure, and to introduce strategic investors with relevant industrial resources. According to CNNC Qualcomm's business development plan, it plans to increase R&D investment in fields such as novel radioactive sources and source-containing equipment during the “15th Five-Year Plan” period, promote the construction of production bases, and gradually extend the existing industrial chain through potential acquisitions. Given that the above business development plan involves large capital requirements, and the existing internal resources of CNNC Qualcomm are insufficient to fully meet the relevant capital requirements, this capital increase is expected to help supplement its development capital and optimize its capital structure. At the same time, considering the relevant support policies for the nuclear technology application industry introduced by national and local governments in recent years, CNNC Qualcomm plans to introduce investors with relevant industry experience and resources through this capital increase to explore cooperation opportunities in technology research and development, industrial chain expansion, and market development, thereby supporting the development of its existing business and related business fields.
The share ratio of the proposed capital increase to CNNC Qualcomm's new equity ratio is 20%. After the capital increase is completed, the company's shareholding ratio in CNNC Qualcomm will decrease somewhat, but it will still maintain its controlling position. The company hopes to support CNNC Qualcomm's development by introducing diverse shareholders, create synergy effects with shareholders in the market, industry and other fields, continue to play the role of new investors as long-term shareholders, active shareholders, empowering shareholders, and strategic shareholders, and supporting the long-term development of CNNC Qualcomm.
