(Jinchengjian) on October 28, 2026. The company and Jin Chengjian intend to establish a long-term cooperative relationship in the field of green energy and smart mining industry collaboration in the Democratic Republic of the Congo (DRC).
The main provisions of the letter of intent for strategic cooperation are outlined below:
1. Energy projects
Within the next three years, the contracting parties intend to advance the implementation of the smelter energy support project in stages according to specific circumstances. The intended total construction scale target is 275 MW of photovoltaics and 400 MWh of energy storage. The specific construction scale, investment arrangements, delivery nodes and commercial conditions are subject to the special contract signed separately by the contracting parties.
2. mining equipment
In response to Jin Chengjian's subsequent mine development business, the contracting parties intend to take the opportunity to cooperate to promote the deployment or procurement of a certain number of electric mining cards to promote the electrification of heavy duty mine transportation and reduce the overall operating costs of the mine. The specific quantity, price, delivery period and commercial terms are subject to a separate execution contract signed by the contracting parties.
3. Autonomous driving demonstration project
The contracting parties intend to take the opportunity to jointly build a benchmark project for intelligent zero-carbon mining in the Democratic Republic of the Congo (DRC), launch a certain number of driverless electric mining truck demonstration fleets, and build an integrated demonstration sample of “green electricity+electrification+driverless driving” based on the core location advantages of the African copper belt.
4. Duration and Confidentiality Agreements
The letter of intent for strategic cooperation is valid for 5 years, from the date the letter of intent for strategic cooperation is established until October 28, 2031. After the expiration of the period, the contracting parties may, under the same conditions of cooperation, prioritize cooperation with each other and sign a formal agreement on the content of the intention to cooperate under the letter of intent for strategic cooperation. The contracting parties have a duty of confidentiality with respect to trade secrets learned during negotiations, and the obligation of confidentiality does not expire as a result of the expiration, cancellation or termination of the letter of intent for strategic cooperation.
The board of directors believes that the establishment of a letter of intent for strategic cooperation is in line with the company's strategic development direction.
