Anhui Shengda is an indirect non-wholly-owned subsidiary of the Company. The board of directors believes that the repurchase will allow the Group to increase its shares in Anhui Shengda and consolidate its control over Anhui Shengda.
The directors believe that repurchase matters are beneficial to the Group for the following reasons:
(i) Reducing future uncertainty and optimizing the financing structure — the costs are determined by referring to the contract purchase price formula, which includes 6.5% annual profit. The completion of the repurchase transaction will avoid further accumulation of such returns on Wuhu Venture Capital investments. The company can currently obtain bank financing at an annual interest rate of about 3.0%, so the company will not have to bear higher financing costs in the future;
(ii) Increase the Group's economic interests in Anhui Shengda — after completion, the Group's shares in Anhui Shengda will increase by about 51.25% to about 55.51%;
(iii) Simplifying Anhui Shengda's equity structure—upon completion, Wuhu Venture Capital will no longer be a shareholder of Anhui Shengda;
(iv) Reach a contract exit arrangement with Wuhu Venture Capital - the repurchase matter will clear Wuhu Venture Capital's investment in Anhui Shengda and release repurchase rights and other investor rights relating to the sale of shares; and
(v) Improving operational flexibility — Wuhu Venture Capital is no longer a minority of investors and is expected to help Anhui Shengda in future management, financing, corporate restructuring and strategic development.
