12:19 AM EST, 11/03/2026 (MT Newswires) -- TXT e-Solutions (TXT.MI) wrapped up the acquisition of an 88% stake in FMA Investment Holding, according to a Tuesday release. The Italian IT company holds a call option to acquire the remaining 12% stake in the Italian group specialising in IT infrastructure and data centre management, exercisable until approval of FMA Group's 2028 financial accounts. The price will be based on five times the average EBITDA for 2026 to 2028. The deal also includes earn-out and claw-back terms tied to 2026 to 2028 targets.
