As disclosed in the announcement, the Group is committed to further developing into a leading robotics platform company. In addition to its core lidar products, it focuses on providing a wider range of components and end-to-end solutions for physical AI, including core components for embedded robots. The Company believes that the proposed sale will enable the Group to focus more on its long-term strategic plan, namely the development of significant and critical incremental components for manufacturers of physical robots. Although the company will not be engaged in the development and sale of physical robots, it will continue to focus on the R&D, manufacture and sale of lidar products and robot parts, and may participate in the manufacture of physical robots based on subcontract orders received by self-contained robot manufacturers. Since the buyer is a complete manufacturer of physical robots, mainly engaged in the R&D, manufacture and sale of embodied robots, it is expected that after the proposed sale is completed, the Group and the buyer will establish a strategic business relationship. Based on this, the Group can sell to the buyer and/or its subsidiaries significant and critical incremental components for use in physical robots, including but not limited to space cameras, vision/MEMS tactile and mechanical joints, in accordance with fair negotiation standards in their respective daily business processes. All future transactions between the Group and the buyer or its subsidiaries will be conducted in accordance with fair negotiation standards in the daily and general business processes.
