According to Zhitong Finance App, China Alcoa International (02068) announced that on November 6, 2026, Jiuye signed an equity transfer agreement with Shenyang Institute (both non-wholly-owned subsidiaries of the Company). Jiuye agreed to transfer 60% of its shares in Jiuye 3D to Shenyang Institute at a cost of RMB 100.0812 million. After the share transfer is completed, the company's shareholding ratio in Jiuye 3D will decrease by 7.7676%. Jiuye 3D continues to be an indirect non-wholly-owned subsidiary of the Company.
The equity transfer is an internal restructuring action within the Group. It aims to achieve efficient collaboration of core resources between the two parties through capital integration, gather the Group's mixing equipment business on a large scale, and form a closed loop of business. Jiuye 3D relies on the technical advantages of the Shenyang Institute and the dividends of the “scientific reform” policy to accelerate transformation and upgrade and enhance core competitiveness; the Shenyang Institute can quickly make up for the shortcomings in the industrialization of energy-saving business, form a two-wheel drive pattern for environmental protection and energy-saving equipment, and achieve the “1+1>2” system advantage.
Directors (including independent non-executive directors) believe that although equity transfers are not carried out in the company's daily and general business processes, entering into an equity transfer agreement is beneficial and necessary for the Group's business operations; the pricing of the share transfer agreement is determined by negotiating the assessed value of the subject matter of the transfer, and the share transfers under the equity transfer agreement are based on general commercial terms, and the terms are fair and reasonable and conform to the overall interests of the Company and shareholders.
